Terms of Service — VoxCue.App

This is an informational translation provided for the convenience of English-speaking users. VoxCue.App is operated from Chile and these Terms are governed by Chilean law. In case of any discrepancy or conflict, the Spanish-language version shall prevail.

Service provider: Cielo Sur Patagonia SpA, Chilean tax ID (RUT) 78.239.127-5, domiciled in Puerto Varas, Los Lagos Region, Chile.

Legal representative: Carlos Bravo Peña, Chilean tax ID (RUT) 13.108.979-2, domiciled in Puerto Varas, Los Lagos Region, Chile.

Service: VoxCue.App, available at voxcue.app, also referred to as "VoxCue," "the Service," or "the Platform."

1.Purpose and acceptance

These Terms of Service ("Terms") govern access to and use of VoxCue.App, a voice-controlled teleprompter that listens to the User's reading and moves the script on screen at their own pace, together with the associated script creation, editing, storage, and management features offered by the Platform.

By creating an account, purchasing a plan, or using the Service in any way, you represent that you have read, understood, and accepted these Terms in full. If you do not agree with any provision, you must refrain from using VoxCue.App.

These Terms are complemented by VoxCue.App's Privacy Policy, which specifically governs the processing of personal data and forms an integral part of this agreement.

2.Definitions

"User": any natural or legal person who creates an account or uses VoxCue.App, whether individually, as the administrator of an Organization (Teams plan), or as a member of an Organization.
"User Content": the scripts, text, technical cues, and any other material the User writes, uploads, or generates within VoxCue.App.
"Organization": the collective account created upon purchasing the Teams plan, managed by a User with the administrator role, who may add other Users as members.

3.Requirements to use the Service

To use VoxCue.App you must be at least 18 years old, or have the express authorization of your legal guardian if you are a minor. When registering, you represent and warrant that the information you provide is truthful, accurate, and up to date.

VoxCue.App requires a browser compatible with speech recognition (Web Speech API) and an internet connection. Not all browsers support this equally; Cielo Sur Patagonia SpA does not control or guarantee the behavior of third-party browsers or operating systems.

4.User account

You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. You must notify soporte@voxcue.app immediately of any unauthorized use of your account.

Cielo Sur Patagonia SpA is not liable for losses arising from your failure to meet this obligation, unless such loss is a direct consequence of a failure attributable to the Service.

5.Description of the Service and plans

VoxCue.App is currently offered under three tiers, whose current features and limits are detailed at voxcue.app/planes.html:

Free: no-cost access, no expiration, with basic features.
Content Creator: a paid individual plan, one-time payment, with expanded features (technical cues, font and color customization, mirror text, unlimited saving, among others).
Teams: a paid, one-time-payment plan for organizations, allowing an administrator to add additional members by paying for a seat for each one.

Cielo Sur Patagonia SpA may modify, add, or discontinue specific features of each plan over time, notifying relevant changes with reasonable advance notice whenever possible.

6.Pricing, payment, and billing

The current price of each plan is shown in United States dollars (US$) at voxcue.app/planes.html before completing any purchase. VoxCue.App's paid plans are one-time payments: there are no recurring charges or automatic renewals associated with purchasing a Content Creator plan or an additional seat on the Teams plan.

Payment is processed through the payment gateway that Cielo Sur Patagonia SpA has enabled at the time of purchase. Payment methods and their particular conditions (billing currency, bank fees, exchange rate) are the responsibility of the respective issuer or payment processor, and are outside Cielo Sur Patagonia SpA's control.

7.Right of withdrawal

Under article 3 bis of Chilean Law N° 19.496 on Consumer Protection, in contracts entered into remotely or by electronic means, the consumer has a right of withdrawal, unless the provider expressly states otherwise.

Cielo Sur Patagonia SpA expressly, clearly, and unambiguously states that it EXCLUDES the right of withdrawal for purchases of VoxCue.App's paid plans (Content Creator and Teams seats). This is because access to the purchased features is enabled immediately and digitally once payment is confirmed, with the User's express consent for the service to begin immediately upon completion of the purchase.

This exclusion does not apply to the Free plan or to the 7-day free trial described in the next section, since neither involves any payment.

8.Free trial

VoxCue.App offers a 7-day free trial for the Content Creator and Teams plans, at no cost and without requiring a payment method. When the trial period ends, the account automatically reverts to the Free plan, unless the User has purchased a paid plan before that date. Scripts created or edited during the free trial are not automatically deleted when the trial ends.

9.VoxCue's intellectual property

The software, source code, interface, design, trademarks, logos, the name "VoxCue," and generally all technology comprising the Platform are the exclusive property of Cielo Sur Patagonia SpA or its licensors, and are protected by Chilean Law N° 17.336 on Intellectual Property, applicable industrial property legislation, and relevant international treaties.

These Terms do not transfer any ownership rights over the software to the User. The User is granted a limited, non-exclusive, non-transferable, revocable license to use VoxCue.App solely for its intended purpose and within what is permitted by their purchased plan. Copying, decompiling, reverse-engineering, distributing, or unauthorized commercial exploitation of the Platform is prohibited.

10.User Content

Scripts and other User Content are the exclusive property of the User who created them. Cielo Sur Patagonia SpA does not claim any ownership right over such content.

In order to provide the Service (store, sync, display, and process your scripts within the Platform, including the use of speech recognition to follow your reading), you grant Cielo Sur Patagonia SpA a limited, non-exclusive, revocable license to host, reproduce, and process your User Content solely for that purpose. This license ends when you delete your content or your account, subject to reasonable technical backup periods.

You are solely responsible for the content of your scripts, including that it does not infringe third-party rights or applicable law.

11.Acceptable use

You agree not to use VoxCue.App for:

Unlawful purposes or purposes that infringe third-party rights (intellectual property, privacy, reputation, among others).
Attempting to breach the Platform's security, accessing other Users' accounts without authorization, or reverse-engineering the Service.
Reselling, sublicensing, or commercially exploiting access to VoxCue.App without Cielo Sur Patagonia SpA's express authorization.
Deliberately overloading the Service's infrastructure (for example, through automated scraping or denial-of-service attacks).

Cielo Sur Patagonia SpA may suspend or delete accounts that engage in this conduct, in accordance with section 17.

12.Third-party services and personal data

VoxCue.App uses third-party infrastructure providers to operate (including cloud database and authentication services), and speech recognition is processed through the User's browser's Web Speech API, whose operation depends on each browser vendor. Cielo Sur Patagonia SpA does not control the internal processing that such third parties perform outside the Platform.

The processing of Users' personal data is governed by VoxCue.App's Privacy Policy, prepared in accordance with Chilean Law N° 19.628 on the Protection of Private Life, and which will be updated as Law N° 21.719 on Personal Data Protection enters into force (December 1, 2026).

13.Availability and changes to the Service

Cielo Sur Patagonia SpA strives to keep VoxCue.App continuously available, but does not guarantee that the Service will be free of interruptions, errors, or downtime, whether due to maintenance, causes attributable to third-party infrastructure providers, or force majeure.

Cielo Sur Patagonia SpA reserves the right to modify, improve, or discontinue features of the Platform at any time, seeking not to substantially affect, without prior notice, the essential features of plans already purchased by a User.

14.Warranties and "as is" delivery

VoxCue.App is delivered and made available to the User "as is" and "as available," in whatever state the Platform is in on the day of purchase or access, as applicable. Except for the non-waivable legal warranties that Chilean Law N° 19.496 grants to consumers, Cielo Sur Patagonia SpA makes no additional warranties, express or implied, that the Service will be uninterrupted, error-free, or that speech recognition will be accurate under all circumstances, acoustic conditions, accents, or languages.

15.Limitation of liability

To the maximum extent permitted by law, Cielo Sur Patagonia SpA will not be liable to the User for indirect, incidental, special, consequential damages, or lost profits arising from the use or inability to use VoxCue.App, including loss of data, revenue, or business opportunities, even if advised of the possibility of such damages.

Cielo Sur Patagonia SpA's total aggregate liability to the User for any claim related to the Service will not exceed the amount actually paid by the User to Cielo Sur Patagonia SpA for the use of VoxCue.App during the twelve (12) months preceding the event giving rise to the claim.

Users are advised to keep their own copies of their scripts outside the Platform for especially critical presentations.

Nothing in this section limits, excludes, or modifies the non-waivable rights that Chilean Law N° 19.496 on Consumer Protection grants to the User as a consumer, nor does it seek to exempt Cielo Sur Patagonia SpA from liability for willful misconduct or gross negligence.

16.Indemnity

You will indemnify and hold harmless Cielo Sur Patagonia SpA, its officers, and representatives, from any third-party claim arising from your misuse of the Service or breach of these Terms, including reasonable legal fees, unless such claim is a direct consequence of a breach attributable to Cielo Sur Patagonia SpA.

17.Suspension and termination

You may stop using VoxCue.App and request deletion of your account at any time by writing to soporte@voxcue.app. Cielo Sur Patagonia SpA may suspend or cancel access for a User who seriously breaches these Terms, with prior notice when circumstances allow.

Termination of an account does not entitle the User to a refund of payments already made for one-time-payment plans, unless the law provides otherwise.

18.Changes to these Terms

Cielo Sur Patagonia SpA may update these Terms to reflect changes in the Service or in applicable regulations. Material changes will be communicated through a notice on the Platform or to the User's registered email address, with reasonable advance notice before they take effect. Continued use of VoxCue.App after that date constitutes acceptance of the modified Terms.

19.Governing law and jurisdiction

These Terms are governed by the laws of the Republic of Chile. For all legal purposes arising from this agreement, the parties submit to the jurisdiction of the ordinary courts of Chile, without prejudice to consumer-protection rules that grant jurisdiction to other courts when the User qualifies as a consumer under Law N° 19.496.

20.Dispute resolution

In case of any disagreement, you may first contact soporte@voxcue.app to seek a direct resolution. If you qualify as a consumer, you may also resort to Chile's National Consumer Service (SERNAC) or the mediation and complaint mechanisms it provides.
